Distributor Terms

  1. BF Suma is a direct selling organization engaged in marketing of health food, dietary supplement, and personal care product to the consumer through Independent Distributors. The ethics, rules and regulations herein are applicable to all distributors of BF Suma.
  2. A distributor is one who has completed a BF Suma application and has been accepted by BF Suma as a distributor. BF Suma reserves the right to accept or reject anyone as a distributor.
  3. A distributor’s violation of any ethics, rules and regulations or any illegal, fraudulent, deceptive or unethical business conduct may results, at BF Suma’s discretion, in one or more of the following disciplinary actions:
  4. Issuance of a written warning by BF Suma
  5. Suspension, which may result in termination.
  6. Termination of the distributor.
  7. BF Suma reserves the right to terminate any distributorship at any time for cause when it is determined that the distributor has violate the provisions of these ethics, rules and regulations as they may be amended or the provisions of applicable laws and standards of fair dealing. Such involuntary termination shall be made by BF Suma as its discretion.
  8. Termination.
  9. When a decision is made to terminate a distributorship, BF Suma will inform the distributor in writing that the distributorship is terminated immediately, effective as of the date of the written notification. The termination notice will be send to certified mail to the distributor’s address on file with BF Suma.
  10. The distributor will have 15 days from the date of mailing of the certified letter in which to appeal the termination in writing. The distributor’s appeal correspondence must be received by BF Suma within 20 days of BF Suma’s termination letter. If the appeal is not received within 20 day period, the termination will be automatically deemed final.
  11. Distributors are independent marketing representatives of BF Suma and are not to be considered purchaser of a franchise. The application and agreement between BF Suma and its distributors does not create an employer/employee relationship, agency, partnership, or joint venture between BF Suma and the distributors. Each distributor shall hold harmless BF Suma from any claims, damages or liabilities arising out of the distributor’s business practices. BF Suma distributors have no authority to bind BF Suma to any obligation. Each distributor is encouraged to set up his/her working hours and to determine his/her own methods of sale, so long as he/she complies with the ethics, rules and regulations of BF Suma.
  12. In the conduct of his/her business, the distributor shall safeguard and promote the reputation of the products of BF Suma and refrain from all conducts which might be harmful to reputation of BF Suma. Besides, BF Suma distributors should avoid all discourteous, deceptive, misleading, unethical or immoral conducts or practices.
  13. All distributors are required to purchase a welcome kit at the time of submission of their distributor application to BF Suma. The sum is not a service or franchise fee, but rather is strictly to offset costs incurred by BF Suma for educational and business materials required for a distributor of BF Suma.
  14. Any distributor, who sponsors other distributors, must fulfill the obligation of performing a bona fide supervisory, distributing and selling function in the sale or delivery of product to the ultimate consumer and in the training of those sponsored. Ongoing contact, communication, and management supervision must carry on between consumers and their sales organization. The management supervision may include but are not limited to: newsletters and other printing publications, personal meeting, telephone contact, email, BF Suma training. Distributors should be able to provide evidence to BF Suma biannually on ongoing fulfillment or sponsor responsibilities.
  15. A distributor may not sell, assign or otherwise transfer his/her distributorship, marketing position or other distributor rights without written application and approval by BF Suma.
  16. All distributors are responsible to pay taxes and dues on earnings generated as a seller of BF Suma products.
  17. Retail Establishment. BF Suma products may only be displayed and sold in retail establishments where the nature of the business is to make appointments with customers, such appointments may include personal training, should classes are scheduled. The sale of such products within such retail facilities must be conducted by a distributor and must be preceded by a discussion where the distributor introduced the prospect to the products and opportunity, just as they would if they had met outside of the retail opportunity. Banners and other materials supplied by BF Suma may only be displayed on a shelf, counter, or wall. Product may not be sold from a shelf or taken from a display for purchase by a customer.
  18. Trade shows. BF Suma produced marketing materials and products may be displayed in a separate sectioned area in the trade show booth. No distributor may sell or promote BF Suma’ products or business opportunity at flea markets, swap meets or garage sales.
  19. Trademark, Trade names, advertising.
  20. The name of BF Suma and product names are proprietary trademark and trade names of BF Suma. As such, these trademarks are of great value to BF Suma and are supplied to the distributor for the distributors’ use only in an expressly authorized manner. Distributor agrees not to advertise BF Suma products in any way other than the advertising and promotional tools made available to distributor by BF Suma. Distributor agrees not to use any written, printing, recorded or any other tools in advertising, promoting, or describing the product or BF Suma marketing sales plan, or in any other manner, any material which has not been copyrighted and supplied by BF Suma, unless such tools has been submitted to BF Suma and approved in writing by BF Suma before being disseminated, published or displayed.
  21. BF Suma will not permit the use of its copyrights, designs, logos, trade names, trademarks, etc. without it prior written permission.
  22. All BF Suma materials, whether printed, on media or produced by sound recording, are copyright and may not be reproduce in whole or in part by distributors or any other person except as authorized by BF Suma. Permission to reproduce any tools will be considered only in extreme circumstances. Therefore, a distributor should not anticipate that approval will be granted.
  23. A BF Suma distributor may not produce, use or distribute any information relative to the contents, features or properties of BF Suma product which has not been provided directly by BF Suma. This prohibition includes but is not limited to: print, audio or video media.
  24. A BF Suma distributor may not produce, sell or distribute printed, or audio video media which are deceptively similar in nature to those produced, published and provided by BF Suma for its distributors. Nor may a distributor purchase, sell or distribute non-BF Suma materials that imply or suggest that said tools originate for BF Suma.
  25. All advertising copy, direct mailing, radio, TV, newsletter and display copy must be approved in writing before being disseminated, published or displayed with the exception of blind ads where no reference is made to BF Suma name or product name.
  26. Press inquiries. Any inquiries by the media are to be referred immediately to BF Suma which is to assure accuracy and consistent BF Suma’s public image.
  27. A BF Suma distributor shall make no claims (whether of therapeutic or curative properties) regarding BF Suma products or claims involving the Sales Marketing Plan that are not contained in official BF Suma literature produced and distributed by BF Suma.
  28. BF Suma and its affiliated entities have proprietary rights to its Distributor network and lists of Distributor names. BF Suma Distributor Lists, or other BF Suma contacts shall not be use to promote the sale or use of any products, programs, or services, other than those offered through BF Suma to any BF Suma Distributors.
  29. BF SUMA distributors may not hold a beneficial interest in more than one BF Suma’s Distributorship and shall return all existing Distributor Lists upon request by BF Suma or upon the termination or resignation of their Distributorship.
  30. BF Suma reserves the right to approve or disapprove distributor’s change of business names, formation of partnerships, corporations, trust for tax, estate planning, and limited liability purposes.
  31. BF Suma reverses the right to alter or amend products’ prices, sales marketing plan, ethics, rules and regulations.
